Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the website at prometheanintel.com (the "Site") and, to the extent applicable, the services we provide (the "Services"), offered by Promethean Intelligence LLC ("Promethean Intelligence," "we," "us," or "our"), a limited liability company organized under the laws of the State of Kansas.

By accessing or using the Site or the Services, you agree to be bound by these Terms. If you do not agree, do not use them. Where a signed service agreement conflicts with these Terms, that agreement controls with respect to the Services it covers.

Eligibility

You must be at least 18 years old and able to form a binding contract to use this Site. By using it, you represent that you meet these requirements and that any information you provide is accurate.

Services

Promethean Intelligence provides AI-driven automation, systems implementation, and performance optimization services for businesses. The scope of work for each engagement is defined in a separate Statement of Work or service agreement.

The Site itself provides general information about Promethean Intelligence and a means to request a consultation. Content on the Site is for informational purposes only and does not constitute a binding offer, a guarantee of results, or professional advice.

Client Obligations

You agree to: provide accurate and complete information; grant reasonable access to the systems and data necessary for service delivery; make timely payments as outlined in your service agreement; and designate a point of contact for communications.

Acceptable Use

You agree not to use the Site or the Services to violate any law, infringe the rights of others, transmit harmful or malicious code, attempt to gain unauthorized access to our systems, scrape or harvest data through automated means, or interfere with the operation of the Site or the Services. We may suspend or terminate access for any conduct we reasonably believe violates these Terms or harms us, our users, or third parties.

Intellectual Property

Unless otherwise stated in a service agreement: custom work product created specifically for you is assigned to you upon full payment; pre-existing tools, frameworks, and methodologies remain the property of Promethean Intelligence; and we retain the right to use the general knowledge and techniques gained during engagements.

The Site and its contents — including text, graphics, logos, the Promethean Intelligence name and mark, layouts, and code — remain owned by Promethean Intelligence LLC or its licensors and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from them without our prior written consent.

Payment Terms

Payment terms are specified in individual service agreements. Late payments may incur interest at 1.5% per month. We reserve the right to suspend Services for overdue accounts.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the agreement.

Third-Party Links and Services

The Site may link to or rely on third-party services, such as our scheduling and CRM provider. We do not control those services and are not responsible for their content, availability, or practices. Your use of a third-party service is governed by that party's own terms and privacy policy.

Disclaimer of Warranties

The Site is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on it is complete or current. Any warranties or guarantees that apply to the Services are those expressly set out in the applicable service agreement.

Limitation of Liability

To the fullest extent permitted by law, Promethean Intelligence LLC and its members, managers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Site or the Services, even if we have been advised of the possibility of such damages.

To the extent any liability cannot be excluded, our total liability for all claims relating to your use of the Site will not exceed one hundred U.S. dollars ($100). Liability arising from the Services is governed by the limitations set out in the applicable service agreement. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless Promethean Intelligence LLC and its members, managers, and agents from any claims, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of your use of the Site or the Services or your violation of these Terms.

Governing Law and Venue

These Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms, the Site, or the Services will be brought exclusively in the state or federal courts located in Kansas, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. The date at the top of this page reflects the most recent revision. Continued use of the Site or the Services after changes are posted constitutes acceptance of those changes.
